Terms of Use

1. Agreement

These Terms of Use ("Terms") form a binding contract between you and arxi lab ("arxi", "we", "us"), a small independent project based in Barcelona, Spain, governing your use of the arxi assistant and the arxi.me website (the "Service"). The full legal and contact details of the operator are at the end of these Terms (Section 14). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. What the Service is

arxi is a delegated-intelligence assistant that operates inside messaging channels. It uses artificial intelligence (large language models) to answer questions and take actions on your behalf.

The Service is currently in an early ("alpha") stage. Features may change, break, or be withdrawn. AI output can be wrong, incomplete, or out of date. You are responsible for reviewing arxi's output before relying on it, and you must not rely on it for legal, medical, financial, or other professional decisions without independent verification.

3. Eligibility & accounts

You must be at least 16 years old (or the minimum age of digital consent in your country) and legally able to enter into this agreement. You are responsible for activity that occurs through your account and for keeping your channel/account access secure.

4. Plans, payment, and usage charges

4.1 Subscription plans. arxi is offered on paid monthly subscription plans. The current plans are:

4.2 Usage charges (billed separately). In addition to the monthly subscription, your use of language-model capacity is metered and billed separately based on actual usage (the cost of the underlying model calls your requests generate). Usage is drawn from your account balance. arxi will notify you when your balance is low (for example, a low-balance alert and the option to top up), so that variable charges are not a surprise. By using the Service you authorise these usage-based charges in addition to your subscription fee.

4.3 Payment provider (Merchant of Record). Payments are processed by Polar.sh, which acts as the Merchant of Record for your purchase. Polar is the seller of record and handles billing, payment methods, applicable taxes, and refunds. Your payment is also subject to Polar's terms. arxi does not store your payment card details.

4.4 Renewal & cancellation. Subscriptions renew monthly until cancelled. You may cancel at any time; cancellation stops future subscription renewals. Except where required by law or expressly stated, fees already incurred (including usage already consumed) are non-refundable.

4.5 Price changes. We may change plan prices or usage rates with reasonable advance notice. Changes take effect at your next billing cycle.

5. Acceptable use

You agree not to use the Service to:

  • break the law or infringe others' rights;
  • generate or distribute malware, spam, or content that is illegal, harmful, or abusive;
  • attempt to disrupt, overload, reverse-engineer, or gain unauthorised access to the Service or its infrastructure;
  • use the Service to build a competing model by extracting or scraping outputs at scale;
  • violate the terms of any third-party service arxi connects to on your behalf (see Section 6).

We may suspend or terminate access for violations.

6. Third-party tools and connected services

When you ask arxi to perform an action, it may use third-party services on your behalf — for example browsing a website, performing a web search, or reading public content from X/Twitter. Your use of those actions is also subject to the third parties' own terms, and arxi is not responsible for third-party services. If you connect your own credentials (API keys, accounts) to arxi, you are responsible for complying with the terms of those services.

7. AI output, accuracy, and your responsibility

The Service produces AI-generated output. We work hard on accuracy, but we do not warrant that output is accurate, current, complete, or fit for any particular purpose. Output may reflect information that is outdated or incorrect. You are responsible for checking output before acting on it, and arxi may, when you authorise it, take actions on your behalf — you remain responsible for the actions you authorise.

8. Intellectual property

8.1 Your content. You retain ownership of the content you provide. You grant us the limited licence needed to operate the Service (process your inputs to generate responses and act on them, as described in the Privacy Policy).

8.2 arxi's behaviour is public. The instructions that define arxi's behaviour (its "prompt") are published and verifiable (with a hash and changelog) as part of our "Verified AI" principle. This does not give you rights in the arxi name, software, or infrastructure.

8.3 Output. As between you and us, you may use the output arxi generates for you, subject to these Terms and to the terms of the underlying model providers.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains what data we process and your rights under the GDPR.

10. Disclaimers and limitation of liability

The Service is provided "as is" and "as available," without warranties of any kind to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure.

To the fullest extent permitted by applicable law, arxi's total liability arising out of or relating to the Service is limited to the amount you paid us in the three (3) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages. Nothing in these Terms limits liability that cannot be limited under applicable law (including mandatory consumer-protection rights under Spanish and EU law).

11. Suspension and termination

You may stop using the Service at any time (and delete your data with /pleasedeletemydata). We may suspend or terminate access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends; sections that by their nature should survive (payment owed, IP, disclaimers, liability, governing law) survive.

12. Governing law and disputes

These Terms are governed by the laws of Spain, without regard to conflict-of-law rules. The courts of Barcelona, Spain have jurisdiction, except where mandatory consumer-protection law gives you the right to bring proceedings in your country of residence within the EU.

13. Changes to these Terms

We may update these Terms. Material changes will be announced through the Service. Continued use after changes take effect means you accept the updated Terms.
